Terms of Service

1. Accepting these terms

These Terms of Service ("Terms") are an agreement between you and Deal Basket LLC ("Deal Basket," "we," or "us") covering your use of the Deal Basket mobile app, the dealbasket.app website, and related services (together, the "Service"). By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with the involvement of a parent or guardian who agrees to these Terms.

2. What Deal Basket does

Deal Basket is a grocery shopping app. Today you can create an account, build and edit shopping lists, set your shopping preferences, and delete your account and its data.

The Service is not yet operating in any area. It holds no store prices and no store listings, so it does not currently compare prices between stores, show weekly deals, price a shopping list, or track savings. It cannot place an order, and it offers no delivery.

3. Prices are estimates

The Service currently shows no prices at all. This section describes how prices work when the Service does show them.

Prices change constantly, and prices in the app may be out of date, incomplete, or wrong. Product matches may be imperfect — a store brand we match to a national brand may differ in size, quality, or formulation.

The price you pay at the register is set by the retailer, not by us. Deal Basket does not guarantee that any price, promotion, discount, or availability shown in the app is accurate or currently offered, and we are not responsible for a difference between a price shown in the app and a price charged by a store. Treat our comparisons as a starting point for your own decision, not as a promise.

Savings figures, including any estimate shown on our website or in the app, are illustrative projections based on assumptions we choose. They are not a prediction of what you personally will save.

4. Your account

Some features require an account. You agree to give accurate information, to keep your login credentials secure, and to tell us promptly at support@dealbasket.app if you believe someone else has accessed your account. You are responsible for activity that happens under your account.

You can delete your account at any time from Settings in the app. See our Privacy Policy for what happens to your data when you do.

5. Acceptable use

When using the Service, you agree not to:

• Scrape, crawl, or bulk-extract pricing data, or use automated means to access the Service beyond normal app use;
• Resell, republish, or redistribute our price data or comparisons commercially without our written permission;
• Reverse engineer, decompile, or attempt to derive the source code of the app, except where that restriction is prohibited by law;
• Interfere with the Service's operation, probe it for vulnerabilities, or attempt to gain unauthorized access to any system or account;
• Use the Service to break any law, infringe anyone's rights, or transmit malware; or
• Misrepresent your identity or impersonate anyone.

6. Our content and yours

The Service, including its software, design, text, logos, and the arrangement of its data, is owned by us or our licensors and is protected by intellectual property law. We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for your own household shopping. All rights we do not expressly grant are reserved.

Content you create — your lists, notes, and preferences — remains yours. You grant us a license to host, store, and process that content solely to operate and improve the Service, including the right to use de-identified and aggregated versions of it that do not identify you.

If you send us feedback or suggestions, we may use them without obligation or compensation to you.

7. Retailers and third parties

Deal Basket is independent and is not affiliated with, endorsed by, or sponsored by any grocery retailer. Retailer names, logos, and trademarks referenced in the Service belong to their respective owners and are used only to identify stores and products. Any dealings you have with a retailer — including purchases, returns, delivery, and customer service — are between you and that retailer.

The Service may link to or integrate with third-party services. We do not control them and are not responsible for their content, policies, or practices.

8. Paid features

Deal Basket offers a free Basic plan and two paid subscription plans, Premium and Platinum. The free plan does not require payment information.

The paid plans are not advertised on our pricing page at present. Because the Service is not operating, most of what the paid plans are described as including — coupons, weekly deals, promotions, delivery fee waivers, and editing an order after it is placed — is unavailable, and receipt scanning is not currently working. Consider this before subscribing.

Billing and renewal

Subscriptions purchased from us are processed by Stripe, our payment processor. Stripe receives your card details directly; we never see or store your full card number. Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. You authorize us to charge your saved payment method for each renewal.

Cancelling

You can cancel at any time from your account settings in the app, or by emailing support@dealbasket.app. Cancelling stops future renewals; you keep access until the end of the period you have already paid for.

Refunds

Subscription fees are generally non-refundable except where required by law, though we will consider a refund request made within 14 days of a charge if you have not substantially used the paid features — email support@dealbasket.app.

Price changes

We may change plan prices or what a plan includes. If a change affects a plan you are currently subscribed to, we will notify you by email before it takes effect so you can cancel first. We will not begin charging you for something that was previously free without telling you in advance.

Downgrades

If you downgrade or cancel, we do not delete your lists. Features above your plan level simply become unavailable until you upgrade again.

9. App Store terms

If you downloaded the app from the Apple App Store, you acknowledge that these Terms are between you and us, not Apple, and that Apple is not responsible for the app or its content. Apple has no obligation to provide support or maintenance for the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a terrorist-supporting country, and that you are not on any U.S. Government list of prohibited or restricted parties.

If you downloaded the app from Google Play, your use is also subject to the Google Play Terms of Service.

10. Disclaimer of warranties

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any price, comparison, or savings figure will be accurate.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

11. Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost savings, lost data, or the cost of substitute services, arising out of or relating to your use of the Service — including any difference between a price shown in the app and a price charged by a retailer.

Our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim arose, or one hundred U.S. dollars (US$100).

Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Deal Basket LLC and its officers, employees, and agents from any claims, damages, losses, and reasonable legal fees arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.

13. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, or if we discontinue the Service. Sections that by their nature should survive termination — including sections 3, 6, 10, 11, 12, and 14 — will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You and we agree that any dispute will be brought exclusively in the state or federal courts located in Gregg County, Texas, and we each consent to jurisdiction there. Nothing in this section prevents either of us from bringing a claim in small claims court.

15. Changes to these terms

We may update these Terms as the Service changes. We will revise the "last updated" date above, and for material changes we will give notice in the app or by email before they take effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
